EULA - End User License Agreement

Unless you have a different license agreement signed by an officer of Spud City Software Co. your use of this software indicates your acceptance of the following terms.

Evaluation and Purchase
TimeCalcPro is not free software. Subject to the terms below, you are hereby licensed to use and evaluate this software without charge for 30 days. If you use this software after the 30-day evaluation period, a license fee to Spud City Software Co. is required. Current license fee rates are posted on Spud City Software Co.'s web site, www.spudcity.com.

Unpaid use of TimeCalcPro after the 30-day evaluation period is in violation of U.S. and international copyright laws.

Governing Law
This agreement shall be governed by the laws of the State of Idaho, USA.

Disclaimer of Warranty
TIMECALCPRO IS LICENSED "AS IS" AND WITHOUT WARRANTIES AS TO PERFORMANCE OR MERCHANTABILITY OR ANY OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED. Because of the various hardware and software environments into which TimeCalcPro may be put, NO WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE IS OFFERED. The user must assume the entire risk of using TimeCalcPro. ANY LIABILITY OF SPUD CITY SOFTWARE CO. WILL BE LIMITED EXCLUSIVELY TO PRODUCT REPLACEMENT OR REFUND OF THE USER'S LICENSE FEE, IF REQUESTED WITHIN 31 DAYS OF USER'S PURCHASE DATE.

Distribution of Trial Copies
You are hereby freely licensed to make as many copies of the TRIAL version of this software as you wish and make it available for download from your Internet site, provided: 1. You distribute only exact copies of the original trial TimeCalcPro installation program, 2. You do not charge any money, or request donations for any such copies, and 3. You do not distribute discs containing TimeCalcPro without prior written permission from Spud City Software Co.

Registration Key Confidentiality
You must never reveal any TimeCalcPro registration key to anyone who is not registered and licensed by Spud City Software Co. to use TimeCalcPro.

Grant of License for Registered Users
Spud City Software Co. grants you a non-exclusive, non-transferable license to use the Software ("TimeCalcPro") to support up to the number of simultaneous users for which you have paid the license fee, and to make backup copies of the Software, provided that: (i) the Software is NOT modified; (ii) all copyright notices are maintained on the Software; and (iii) you agree to be bound by the terms of this License Agreement.

Ownership
You have no ownership rights in the Software. Rather, you have a license to use the Software as long as this License Agreement remains in full force and effect. Ownership of the Software, Documentation and all intellectual property rights therein shall remain at all times with Spud City Software Co. Any other use of the Software by any person, business, corporation, government organization or any other entity is strictly forbidden and is a violation of this License Agreement.

Copyright
The Software and Documentation contain material that is protected by United States Copyright Law and trade secret law, and by international treaty provisions. All rights not granted to you herein are expressly reserved by Spud City Software Co. You may not remove any proprietary notice of Spud City Software Co. from any copy of the Software or Documentation.
